Terms of Service

These Terms of Service ("Terms") govern your access to and use of Replora("we", "our", or "us"), including our website, platform, and all related services. By creating an account or using Replora, you agree to these Terms in full.

If you do not agree to these Terms, do not use Replora. These Terms apply to all users, including clinics, therapists, and mental health professionals operating in India.

To use Replora, you must:

• Be at least 18 years of age
• Be a licensed professional, clinic operator, or authorised representative of a healthcare business
• Have the legal authority to enter into a binding agreement
• Provide accurate and complete information when creating your account

Replora is not intended for personal or consumer use. It is a business tool for healthcare professionals.

You are responsible for maintaining the security of your account credentials. You must not share your login details with others or allow unauthorised access to your account.

You are fully responsible for all activity that occurs under your account. If you suspect unauthorised access, notify us immediately at viratpoddar2012@gmail.com.

We reserve the right to suspend or terminate accounts that violate these Terms, without prior notice.

You agree to use Replora only for lawful purposes. You must not:

• Use the platform to send spam, unsolicited, or misleading messages
• Violate any applicable Indian or international law or regulation
• Attempt to reverse-engineer, copy, or reproduce any part of the platform
• Interfere with or disrupt the integrity or performance of the platform
• Use the platform to collect patient data beyond what is necessary for legitimate clinical communication
• Impersonate any person or entity, or misrepresent your affiliation

Violation of acceptable use policies may result in immediate account termination.

Replora integrates with the WhatsApp Business API. By connecting your WhatsApp number, you confirm that:

• You are the authorised owner or administrator of the WhatsApp Business account you connect
• You have obtained all necessary consents from your patients or clients to communicate with them via WhatsApp
• You will comply with WhatsApp's Business Policy and Messaging Policy at all times
• You understand that WhatsApp may suspend or restrict your number for policy violations, and Replora is not liable for such actions

You retain full ownership of all client and patient data you enter into Replora. We act as a data processor on your behalf and process this data only as instructed by you through your use of the platform.

You are responsible for ensuring that your collection and use of patient data complies with applicable law, including any applicable patient confidentiality or data protection obligations.

We do not access, read, or use your patient data for any purpose other than delivering the platform features you use.

All content, design, code, trademarks, and materials that form part of the Replora platform are owned by us and are protected by applicable intellectual property law. You may not copy, modify, or distribute any part of the platform without our prior written consent.

You retain all rights to the content and data you create or upload to the platform. You grant us a limited, non-exclusive licence to process that content solely to provide the services described in these Terms.

Certain features of Replora require a paid subscription. All fees are stated in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise.

• Subscriptions are billed on a recurring basis (monthly or annual)
• You authorise us to charge your payment method at the start of each billing period
• Refunds and cancellations are handled under our Cancellation & Refund Policy, which includes a 7-day satisfaction guarantee for first-time subscribers.
• We reserve the right to change pricing with 30 days' notice

If payment fails, your account may be downgraded or suspended until payment is resolved.

You may cancel your account at any time from your account settings or by contacting us. Upon cancellation, your access to paid features will continue until the end of your current billing period.

We may suspend or terminate your account at any time if we determine that you have violated these Terms, with or without notice. We will make reasonable efforts to notify you where legally permitted.

Upon termination, your data will be deleted in accordance with our Privacy Policy and Data Deletion Policy.

Replorais provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the reliability, accuracy, or availability of the platform.

To the maximum extent permitted by law, we shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform, including but not limited to loss of data, loss of revenue, or missed appointments.

Our total liability to you for any claim shall not exceed the amount you paid to us in the three months preceding the claim.

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Faridabad, Haryana, India.

We may update these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and notify you by email if the changes are significant. Continued use of Replora after changes are posted constitutes your acceptance of the updated Terms.
